1. Agreement Overview

These Terms of Service ("Terms") govern your use of COVER AI's services ("Services") provided by [Company Name] ("COVER AI," "we," "us," or "our"), a company registered in the United Arab Emirates. By using our Services, you ("Client," "you," or "your") agree to be bound by these Terms.

2. Service Description

2.1 AI Receptionist Services

COVER AI provides an AI-powered receptionist service that:

  • Handles incoming phone calls for restaurants and hospitality businesses
  • Processes customer inquiries, bookings, and reservations
  • Integrates with point-of-sale (POS) systems and booking platforms
  • Provides 24/7 call handling and customer support
  • Sends follow-up communications via SMS and WhatsApp
  • Generates analytics and reporting on call performance

2.2 Service Availability

Services are provided on a subscription basis with 99.5% uptime target. Scheduled maintenance will be communicated in advance.

3. Client Responsibilities

3.1 Business Information

Client must provide:

  • Accurate business information, menus, hours, and policies
  • Current contact details and escalation procedures
  • Necessary access to POS systems and booking platforms
  • Staff training on service integration

3.2 Compliance

Client must ensure compliance with all applicable UAE laws and regulations regarding:

  • Business licensing and operations
  • Data protection and customer privacy
  • Telecommunications and call recording regulations
  • Consumer protection laws

4. Payment Terms

4.1 Subscription Fees

  • Monthly subscription fees as specified in the service agreement
  • Setup and onboarding fees (if applicable)
  • Additional charges for premium features or usage overages

4.2 Payment Processing

  • All fees are payable in UAE Dirhams (AED)
  • Automatic renewal unless cancelled with 30 days' notice
  • Late payment may result in service suspension
  • All prices are exclusive of applicable VAT

4.3 Refund Policy

  • No refunds for monthly subscription fees
  • Setup fees are non-refundable
  • Partial refunds may be considered for service interruptions exceeding 24 hours

5. Intellectual Property

5.1 COVER AI Rights

We retain all rights to our technology, software, AI models, and related intellectual property.

5.2 Client Data

Client retains ownership of business information and customer data provided to us. We are granted a limited license to use such data solely for service provision.

5.3 Voice Recordings

AI-generated voice interactions are considered our intellectual property, while customer conversation content belongs to the Client.

6. Data Protection and Privacy

6.1 Data Handling

We process personal data in accordance with UAE Data Protection Law and our Privacy Policy.

6.2 Call Recording

All calls are recorded for quality assurance and AI training purposes. Client consents to such recording and agrees to inform customers as required by law.

6.3 Data Security

We implement appropriate technical and organizational measures to protect data, but cannot guarantee absolute security.

7. Service Limitations

7.1 AI Limitations

  • AI responses are generated automatically and may not always be perfect
  • Complex queries may require human intervention
  • Service quality depends on call clarity and customer cooperation

7.2 Integration Dependencies

  • Service functionality depends on third-party integrations (POS systems, telecommunications)
  • We are not responsible for third-party system failures or limitations

8. Liability and Disclaimers

8.1 Service Warranty

Services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

8.2 Limitation of Liability

To the maximum extent permitted by UAE law, our total liability shall not exceed the amount paid by Client in the 12 months preceding the claim.

8.3 Excluded Damages

We shall not be liable for:

  • Lost profits or business opportunities
  • Indirect, consequential, or punitive damages
  • Customer complaints or lost reservations due to AI limitations
  • Third-party system failures or integration issues

9. Indemnification

Client agrees to indemnify and hold harmless COVER AI from any claims arising from:

  • Client's use of the Services
  • Violation of these Terms or applicable law
  • Infringement of third-party rights
  • Customer disputes related to bookings or service

10. Termination

10.1 Termination Rights

Either party may terminate with 30 days' written notice. We may terminate immediately for:

  • Non-payment of fees
  • Breach of these Terms
  • Violation of applicable law
  • Misuse of Services

10.2 Effect of Termination

  • All access to Services will cease
  • Client data will be deleted within 30 days unless otherwise requested
  • Outstanding fees remain payable

11. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, telecommunications failures, or pandemics.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates.

12.2 Jurisdiction

Any disputes shall be resolved exclusively by the competent courts of [Emirate], UAE.

12.3 Alternative Dispute Resolution

Parties agree to attempt mediation before pursuing litigation. Arbitration may be pursued under the Dubai International Arbitration Centre (DIAC) rules if mutually agreed.

13. General Provisions

13.2 Amendments

Client may not assign these Terms without our prior written consent. We may assign these Terms to affiliates or successors.

13.5 Language

These Terms are prepared in English. Any translated versions are for convenience only, and the English version shall prevail.
